What Legal Documents Do You Need to Start a Brand?

Most people start a clothing brand without understanding product creation, sourcing, marketing, pricing, and brand building. This 100-day course is built to help you understand the path before you start working on it.

Let’s talk about the one thing that makes every founder want to pull their hair out.

Legal paperwork. I know, I know. You started this brand because you have a great product and a vision, not because you wanted to become a government clerk. But here’s the thing: most new founders in India either overdo it (spending lakhs on lawyers before selling a single product) or underdo it (and then get blocked by GST or bank issues later).

So, how do we keep it simple for you?

Step 1: Who are you?

First, I have to ask: Are you doing this alone, or do you have a partner?

If you’re going solo, you’re a Sole Proprietor. It’s the easiest, quickest way to start. But if you have a co-founder, you’re looking at a Partnership, an LLP, or a Private Limited company.

Why does this matter? Because this one choice decides every single document you’ll need to collect next.

Step 2: The "GST" Reality Check

Now, let me ask you another question. Do you have a "Business Address"?

I see so many people trying to apply for GST while sitting in a cafe. The reality is, you cannot get GST without valid Address Proof. Even if you’re working from your bedroom, the GST officers want official proof.

So, before you do anything else, do you have one of these?

  • A Rental Agreement in your business name.

  • Or, if you own the house, the Property Tax papers or an Electricity Bill in your name.

  • If the house is in your father’s or mother's name? Get an NOC (No Objection Certificate) from them.

Without this, the "Golden Gate" of GST will not open for you.

Step 3: Your "Must-Have" Folder

Once you have the address sorted, the rest falls into place like a puzzle. Do you have these ready in a folder on your laptop right now?

  • ID Proofs: Your Aadhaar and PAN card.

  • Business PAN: (If you’re a company/partnership).

  • Bank Proof: A cancelled cheque from a Current Account. (Pro tip: Don't try to use your personal Savings Account for business; it won't work for most payment gateways).

  • The Big Guys: Your Partnership Deed or MOA/AOA if you went the company route.

Step 4: The Order of Operations

So, you have the papers. What do you do first? Don't run in circles. Follow this flow:

  1. Open the Bank Account: Use your ID and address proof to get that Current Account.

  2. Apply for GST: Go to gst.gov.in. If your papers are clean, you’ll usually get approved in 3–7 days.

  3. The "Safety" Layer: While you wait for GST, apply for your Trademark (to protect your brand name) and Udyam Registration (to get those MSME benefits from the government).

One Final Tip…

Do you know what the biggest headache is for a founder? It’s when a payment gateway or a marketplace like Amazon asks for a "quick KYC", and you spend three hours searching for a scanned copy of your PAN card.

Do yourself a favour: Once you get it, scan everything immediately. Keep a digital folder with your GST certificate, Rental Agreement, and NOC.

If you follow this order, you won't get stuck in the "document loop" that kills so many startups before they even launch.
